Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Praxis Profit website, free resources, the Business & Financial Performance Diagnostic, reports, forms, scheduling pages, and related online materials (collectively, the "Website"). The Website is operated by Praxis Profit, LLC ("Praxis Profit," "we," "us," or "our").

By accessing or using the Website, or by submitting a form after being presented with a link to these Terms, you agree to be bound by these Terms. If you do not agree, do not use the Website or submit a form.

1. About Praxis Profit

Praxis Profit is a business and financial performance advisory firm. It helps established business owners understand what their numbers support, improve financial performance, and make better decisions when buying, running, or preparing to sell a business.

Praxis Profit does not hold itself out as, and does not provide services as, an investment adviser, broker-dealer, securities adviser, personal financial planner, CPA firm, bookkeeping service, tax preparation firm, law firm, lender, loan broker, business broker, insurance adviser, debt-settlement company, credit-repair organization, certified business appraiser, or seller of regulated financial products. Praxis Profit does not manage investment accounts or portfolios, provide asset-allocation or retirement advice, recommend securities or investments, or take custody or discretionary control of client investment assets.

2. Website information is educational

The Website, free resources, Diagnostic, score report, articles, emails, worksheets, and downloadable materials are educational and informational only. They are not a substitute for advice from a qualified attorney, CPA, tax professional, investment adviser, insurance professional, lender, appraiser, or other licensed or regulated professional where that expertise is required.

3. No regulated professional or investment advice through the Website

The Website and free tools do not provide legal, tax, accounting, audit, securities, investment, insurance, lending, loan-brokerage, business-brokerage, certified-valuation, debt-relief, credit-repair, or other regulated professional advice. References to cash flow, margins, receivables, working capital, debt, pricing, spending, profitability, or financial visibility concern operating-business performance only. Nothing on the Website is a recommendation to buy, sell, or hold a security or investment, and Praxis Profit does not provide personal financial planning, investment management, portfolio management, or retirement advice.

4. No client relationship from Website use

Using the Website, completing the Business & Financial Performance Diagnostic, downloading a resource, submitting a form, or booking a 20-Minute Conversation does not create a client relationship, advisory relationship, fiduciary relationship, accountant-client relationship, attorney-client relationship, or confidential professional relationship with Praxis Profit.

A client relationship begins only when Praxis Profit and the client enter into a separate written engagement agreement, proposal, statement of work, or other written agreement accepted by both parties. The scope, assumptions, exclusions, fees, confidentiality obligations, and liability terms for paid work are governed by that agreement.

5. No guarantees

Praxis Profit does not guarantee any specific cash recovery, margin improvement, profitability increase, revenue increase, debt reduction, financing outcome, sale outcome, purchase outcome, valuation outcome, business return, or other financial or operating result. Results vary by business, available data, market conditions, operating practices, owner decisions, team execution, and other factors outside our control.

Any examples, ranges, case scenarios, or illustrative numbers on the Website are for explanation only unless expressly stated otherwise. They are not promises, guarantees, or predictions for your business.

6. The Diagnostic and other free tools

The Business & Financial Performance Diagnostic and related free tools are based on self-reported answers and limited information. They are not a review of your financial records and do not verify your financial statements, tax records, bank activity, contracts, receivables, payables, payroll, debt obligations, margins, vendor costs, or operations. Scores, bands, interpretations and suggested actions are generated from your responses alone. You are responsible for reviewing any results with qualified professionals before making business decisions.

Do not use the Diagnostic, a score, a downloadable resource, or other Website material as the sole basis for purchasing or selling a business, accepting financing, changing prices, hiring or terminating personnel, making tax or legal decisions, or making any investment or securities decision.

7. Your responsibilities

You agree to provide accurate, current, and complete information when submitting forms or using tools, and not to submit false, misleading, unlawful, confidential third-party, or unauthorized information.

Do not submit Social Security numbers, tax identification numbers, bank login credentials, card credentials, payroll records, tax returns, bank statements, or other highly sensitive documents through public website forms. If sensitive information is needed for a paid engagement, Praxis Profit will provide a separate secure process.

Do not submit customer, employee, vendor, or other third-party personal information unless you are authorized to provide it and Praxis Profit has expressly requested it through an approved secure process.

8. Paid engagements

Paid services, including any Deal Financial Review, Sale Readiness Review, Financial Performance Review, or ongoing advisory relationship, are governed by a separate written agreement. Where these Terms conflict with a signed engagement agreement, the signed engagement agreement controls for that engagement.

Unless a signed engagement agreement expressly states otherwise, Praxis Profit relies on information supplied by the client and third parties and does not audit, attest to, certify, or independently verify the completeness or accuracy of source records. Analyses and conclusions may change if the underlying information is incomplete, inaccurate, late, or subsequently revised.

9. Scheduling and calls

The 20-Minute Conversation is intended to determine fit, understand business context, and discuss possible next steps. It is not a review of your financial records and does not create a client relationship unless a separate engagement agreement is accepted. Praxis Profit may decline, reschedule, or cancel a call at its discretion.

No recommendation made during an introductory call should be treated as a substitute for a scoped engagement or advice from a licensed or regulated professional where required.

10. Communications

When you submit a form, request a resource, complete the Diagnostic, or book a call, Praxis Profit may contact you as reasonably necessary to fulfill and follow up on that specific request. Promotional or newsletter email is sent only when you separately opt in, and you may unsubscribe at any time.

11. Intellectual property

The Website, brand, text, designs, tools, worksheets, reports, frameworks, graphics, logos, and other materials are owned by Praxis Profit or its licensors and are protected by intellectual property laws. You may use publicly available materials for your internal business evaluation only. You may not copy, reproduce, distribute, sell, modify, scrape, publish, train AI systems on, or create derivative works from Praxis Profit materials without written permission.

12. Limited licence to use free resources

If you download a free resource, Praxis Profit grants you a limited, revocable, non-exclusive, non-transferable licence to use it for your own internal business purposes. You may not resell it, publish it, remove branding, use it to provide services to others, or represent it as your own work.

13. Feedback

If you provide suggestions, comments, testimonials, reviews, ideas, or feedback, you grant Praxis Profit permission to use that feedback to improve its services and materials. We will not use your confidential business information in public marketing without your permission.

14. Prohibited uses

You agree not to use the Website for unlawful, deceptive, harmful, or unauthorized purposes; interfere with website security or operation; attempt to access non-public systems or data; submit malicious code, spam, or automated requests; misrepresent your identity or authority; copy, scrape, or harvest Website content or data; systematically copy, extract, repackage, resell, commercially redistribute, or use proprietary Praxis Profit materials to create a substantially similar commercial product or service without written permission; or upload confidential third-party information without authorization.

15. Third-party services and links

The Website uses and links to third-party services, including website hosting and form processing, transactional email delivery, appointment scheduling, cookieless analytics, and web fonts. Praxis Profit is not responsible for third-party websites, policies, content, availability, security, or practices. The providers currently in use are listed in the Privacy Notice.

Links to third-party services do not constitute endorsement, and Praxis Profit does not control the terms, security, availability, or data practices of those services.

16. Disclaimer of warranties

The Website and materials are provided "as is" and "as available." Praxis Profit disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and error-free operation.

17. Limitation of liability

To the fullest extent permitted by law, Praxis Profit and its owners, officers, employees, contractors, advisers, vendors, and affiliates (collectively, the “Praxis Profit Parties”) will not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising out of or related to the Website, these Terms, or your use of or reliance on any free tool, resource, score, report, or material, even if advised that such damages are possible.

To the fullest extent permitted by law, the aggregate liability of the Praxis Profit Parties for all claims arising out of or related to the Website or these Terms will not exceed the greater of $100 or the amount, if any, you paid directly to Praxis Profit solely for access to or use of the Website during the 12 months before the event giving rise to the claim. Liability connected with a paid engagement is governed by the separate written agreement for that engagement, not this cap.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you.

18. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Praxis Profit Parties from third-party claims, damages, liabilities, judgments, costs, and reasonable attorneys’ fees to the extent arising from: (a) information or material you submit through the Website that infringes, misappropriates, or violates a third party’s rights; (b) your material breach of these Terms; or (c) your unlawful, fraudulent, or intentional misuse of the Website. You have no obligation under this section to the extent a claim results from a Praxis Profit Party’s fraud, willful misconduct, or gross negligence.

Praxis Profit will provide reasonably prompt notice of an indemnified claim and reasonable cooperation at your expense. You may control the defense with counsel reasonably acceptable to Praxis Profit, but you may not settle a claim in a manner that admits fault by, imposes a non-monetary obligation on, or fails to fully release a Praxis Profit Party without that party’s prior written consent. Praxis Profit may participate in the defense with counsel of its choice at its own expense. A delay in notice relieves your obligations only to the extent the delay materially prejudices the defense.

19. Changes to the Website and Terms

Praxis Profit may update the Website, tools, resources, services, and these Terms at any time. The updated Terms will be posted with a revised effective date. Your continued use of the Website after changes are posted means you accept the updated Terms.

20. Governing law

These Terms and any dispute arising out of or related to them or the Website are governed by the laws of the State of Nevada, without regard to conflict-of-law rules. Except for a claim eligible for small-claims court or where applicable law gives you a non-waivable right to proceed elsewhere, the state courts located in Clark County, Nevada, and the United States District Court for the District of Nevada have exclusive jurisdiction and venue. You and Praxis Profit consent to those courts and waive objections based on personal jurisdiction, venue, or inconvenient forum.

Before filing a lawsuit, the complaining party must send the other party written notice describing the dispute and requested relief and allow 30 days for a good-faith attempt to resolve it. This requirement does not prevent either party from seeking urgent injunctive or other equitable relief, or from filing when necessary to preserve a claim before an applicable limitations period expires.

21. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law.

22. No waiver

A failure by Praxis Profit to enforce a provision of these Terms does not waive the right to enforce it later.

23. Assignment

You may not assign your rights or obligations under these Terms without written consent. Praxis Profit may assign these Terms in connection with a merger, reorganization, sale of substantially all assets, or similar business transaction, subject to applicable law.

24. Entire Website agreement

These Terms, together with the Privacy Notice and any additional terms presented for a particular Website feature, constitute the agreement governing use of the Website. Paid engagements remain governed by their separate written agreements.
